DIGITAL PRODUCTS & ONLINE COURSES

These Terms & Conditions for Digital Products & Online Courses ("TC"), together with our Terms and Conditions, set out the terms and conditions that will apply when you purchase a digital product or enroll in an online course from https://www.michalechatham.com/. If you are unable to understand or have any questions about these Terms, please contact us BEFORE placing your order.

You will be required to confirm that you have read and accept these TCs before you submit an order. Please note that these TC are subject to change, so review and save or print a copy of these terms before each order that you submit.

Overview.

These TCs do not affect your legal (statutory) rights under your applicable state laws relating to the sale of consumer products.

Order and Acceptance.

Each order submitted constitutes an offer to purchase a digital product or online course from us. Orders are subject to our acceptance, and we may, at our discretion, refuse to accept your order, including where:

• Orders cannot be processed due to an error in the information you have provided to us;

• There is an error on our site relating to the product or course that you have ordered, for example, an error relating to the price or description of the product/course as displayed on our site; or

• The product/online course you ordered is no longer available on our site.

We will send you an email if we are unable to accept your order, unless we suspect it was placed for fraudulent purposes, and will inform you of the reason.

Product availability.

We will have the right, at any time, to make changes to information about the products/ online courses displayed on our site, for example, information about prices, descriptions, or the availability of products/courses, and we may do so without first giving you notice of the changes. We will not, however, make any changes to the price, availability, or description of any product/course after we have accepted an order to deliver the product/online course to you.

Prices and payment.

The product/course price is always the price indicated on the website when you place your order. The price does not include tax (where applicable).

Payments may be processed through our online payment processor, Stripe, or via manual invoicing methods such as check, Zelle, or other agreed-upon payment options.

By purchasing through our website or accepting an invoice, you agree to comply with the applicable terms and conditions of Stripe for payments processed through Stripe. For payments made via manual methods (e.g., check or Zelle), you acknowledge that such transactions may not be subject to the same protections, dispute resolution processes, or processing timelines as payments made through Stripe.

You agree to remit payment in full according to the terms stated on the NDA, invoice or checkout page, and understand that access to products or services may be withheld until payment has been received and cleared.

Refunds/Cancellation.

No Refunds: Due to the digital nature of the product/online course, all sales are final and there is a strict no-cancellation/no-refund policy. For this reason, we want you to be very sure that the time is right for you to make this commitment.

Online Sessions/Masterclasses/Lessons/Modules.The content for our products/courses is made available through a third-party membership site with a secure server, and we have taken all reasonable steps to ensure that the online content will be available at all times. However, if the content is not available in whole or in part at any time, or becomes corrupted, is deleted, or fails to be stored, we shall have no liability under any circumstances.

Passwords.You agree to keep your user details and your password for the membership site confidential at all times, and you shall not disclose them to any third party. You must notify us immediately if you become aware of any unauthorized use of your account and you shall indemnify us against all claims, damages, losses, costs, or expenses, and any other liability that arises from any unauthorized use of your account.

Intellectual Property — No Derivative Works. The materials, methods, and information provided by CMC Sunsource LLC as part of this program (including but not limited to course modules, worksheets, training videos, slides, event recordings, frameworks, and strategies) are proprietary and protected by intellectual property law. These materials are for the personal use of the participant only. They may not be copied, shared, taught, sold, distributed, recorded, or repurposed—whether in whole or in part—for any commercial use without the express written consent of CMC Sunsource LLC. Creating derivative works, programs, or services based on this content is strictly prohibited.

Use of Artificial Intelligence. You may not input, upload, or otherwise provide our products or course materials—including but not limited to course content, frameworks, templates, worksheets, methodologies, videos, and recordings—into any artificial intelligence tools, machine learning systems, or automated content generation technology for any purpose, including summarization, analysis, rewriting, or content generation. You may not use our products or course materials to create derivative works using AI or to train AI models, language learning models, or similar systems. Any use of our products or course materials with AI tools requires our express written permission.

Confidentiality and Non-Disparagement. We respect your privacy and insist that you respect our privacy. Any Confidential Information shared by other course participants or any representative of CMC Sunsource LLC, is confidential, proprietary, and belongs solely and exclusively to the person who discloses it. You agree not to disclose, reveal, or make use of any Confidential Information verbally or in writing, including the specific terms of any agreements, proprietary methods, frameworks, or strategies shared within this program.

You also agree that you will not make, publish, or communicate any false, misleading, or defamatory statements about CMC Sunsource LLC, or any of our programs, members, owners, directors, officers, affiliates, subsidiaries, employees, agents, or representatives.

Liability and Indemnification To the extent permitted by law, Michale Chatham/CMC Sunsource LLC, shall not be liable to you or anyone else for loss or damage of any kind (however caused or arising) relating in any way to this website or your purchase of our digital products, including, but not limited to, loss or damage you might suffer as a result of:

• errors, mistakes, or inaccuracies on the website;

• you acting, or failing to act, on any information contained on or referred to on the website and/or any linked website;

• personal injury or property damage of any kind resulting from your access or use of the website;

• any unauthorized access to or use of the website's secure servers;

• any interruption or cessation of transmission to or from the website;

• any bugs, viruses, trojan horses, or other harmful code or communications that may be transmitted to or through the website by any third party; and/or

• the quality or fitness for any purpose of any linked sites.

You will at all times indemnify Michale Chatham/CMC Sunsource LLC, including our directors, officers, employees, and agents from and against any loss (including reasonable legal costs and expenses on a full indemnity basis) or liability incurred or suffered by you arising from any claim, demand, suit, action or proceeding by any person against you where such loss or liability arose out of, in connection with or in respect of your conduct or breach of these terms.

No guarantees/Disclaimer.

You must understand we are not an agent, lawyer, doctor, manager, therapist, registered dietician, or psychotherapist for you. Your participation in this Course will not guarantee any life, business, or health-related results. If you should experience any health, business, financial, legal, or other related issues you should seek advice from your doctor, psychiatrist, financial advisor, accountant, attorney, or other professional as determined by your judgment.

Because of the nature of our products and events, results may vary significantly from client to client. Although we are confident that the content in this product will transform your life/health/business. We can't make any promises to you and will not deliver any guaranteed outcomes as a result of following the recommendations outlined in the products. The outcome and results you experience depend on your level of commitment to implement the strategies given.

Practice Disclaimer.

The information contained in this course is for educational and information purposes only and is made available to you as a self-help resource for your personal use. You acknowledge that although the owner has degrees and certifications in various fields and modalities, she is acting as a consultant and providing an educational product to you, and that no treatment relationship exists between you and the owner. You understand and acknowledge that we do not know the particular intricacies of your unique situation, and any information provided in our online courses is of a general nature. You understand that at no time is the owner acting as your personal practitioner.

Personal information.

General Terms.

This TC Agreement is governed by and shall be construed in accordance with the laws of the State of Hawaii, without reference to its conflict-of-law provisions.

Entire agreement.

This TC Agreement constitutes the entire agreement between Michale Chatham/CMC Sunsource LLC/Company and you concerning your purchase of products from this website, and it supersedes all prior or contemporaneous communications and proposals, whether electronic, oral, or written, between you and Michale Chatham/CMC Sunsource LLC/Company, concerning this website.

A printed version of this TC Agreement and any notice given in electronic form shall be admissible in judicial or administrative proceedings based on or relating to this TC Agreement to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form.

Electronic Communications and Electronic Signatures. You agree to be bound by any affirmation, assent, or agreement you transmit through this website, at any point in which you click on an "I agree," "I consent," or other similarly worded "button" or entry field with your mouse, keystroke, or other computer devices, or when you enter your credit card information to complete your purchase, your agreement or consent will be legally binding and enforceable and the legal equivalent of your handwritten signature.
